Voluntary · with the board · not this site’s recommendation
The retail voting program, in plain English.
The company adopted a program that lets a retail holder leave a standing instruction to vote
with the board at later meetings. It is free to join and free to leave. This page does not
suggest either option.

DEFA14A filed October 19, 2026
What enrolling does
After a holder votes at the 2026 annual meeting on most electronic platforms, including
ProxyVote.com and Say by Robinhood, the platform can offer enrollment. The company’s materials
say you cannot enroll on the investor-relations page itself, because the instruction has to be
tied to the brokerage account through the proxy distributor.
The standing instruction applies to future meetings: any meeting, including an adjournment,
for which a definitive proxy has not yet been filed. The company says it does
not vote the December 3, 2026 annual meeting. A holder still has to vote that
meeting from its own proxy.
If the holder does nothing at a later meeting, the shares covered by the instruction are voted
with the board recommendation for the matters the holder selected. The holder still receives
the proxy and can override the instruction by voting. The company’s terms say the most recent
vote submitted before the polls close takes precedence.
The two options
Option 1
All matters
Eligible shares are voted with the board’s recommendation on each proposal. The enrollment
screen says that includes every proposal. A merger, acquisition, or sale that is put to
shareholders would be included.
The company also says a holder who picks this option gets a reminder before a meeting that
includes a “special matter.”
Option 2
All matters except certain specified matters
Same board-aligned instruction, except two kinds of items the company calls special
matters: a contested director election, and any acquisition, merger, or divestiture that
state law or exchange rules require shareholders to approve.
On those items, this option does not cast the standing instruction. The holder would vote
them, or leave them unvoted, in the ordinary way.

Leaving, and the timing trap
- The terms say a holder can cancel at any time, at no cost, from the account dashboard or from the annual reminder.
- If the cancellation comes after a definitive proxy for a meeting has already been filed, the terms say the cancellation applies to meetings after that one.
- Overriding a single meeting is different from cancelling. Voting the proxy for that meeting overrides the instruction for the proposals voted.
- A reminder goes out at least annually. Option 1 also gets a reminder before a special matter.
A combination proxy filed later would be a “future meeting” under these terms.
Option 1 would vote it with the board unless the holder votes that proxy or had already
opted out before the proxy was filed. Option 2 carves mergers out. None of that is a
recommendation. Read the terms on the company’s page before choosing.
